Terms of Service
The terms governing your use of the CodeStrux Tech App.
Effective date: 2026-06-03
These Terms of Service (“Terms”) govern your access to and use of the CodeStrux Tech App provided by CodeStrux Tech (“we”, “us”). By accessing the platform or using it on behalf of a business, you agree to these Terms.
If you use the CodeStrux Tech App on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
The service
The CodeStrux Tech App is a messaging console that lets a business send and receive WhatsApp messages with its customers through the WhatsApp Business Platform, manage message templates, record customer consent, and review conversation activity. We may add, change, or remove features over time.
Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. Access is provisioned through your organization’s administrator and an identity provider. You are responsible for the activity that occurs under your account and for keeping your credentials confidential. Notify us promptly of any unauthorized use.
WhatsApp compliance and opt-in
Your use of the CodeStrux Tech App to message customers over WhatsApp is also subject to the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service, and the Meta Platform Terms. You agree to comply with all of them. In particular, you must:
Obtain valid opt-in from each customer before sending the first template message, in a way that clearly identifies your business and the purpose of the messages.
Keep auditable evidence of that opt-in and honor opt-out requests promptly.
Only send message categories and content permitted by the WhatsApp policies, and not use the platform to send spam or unsolicited messages.
Maintain the accuracy of your business profile and display name as required by Meta.
Your responsibilities as data controller
For the personal data of your own customers that you process through the CodeStrux Tech App, you are the data controller and we are your processor. You are responsible for having a lawful basis to contact your customers, for the content you send, and for responding to your customers’ data-subject requests. We will assist you in meeting those obligations as described in our Privacy Policy and Data Deletion Instructions.
Prohibited uses
You may not:
Use the platform for any unlawful, fraudulent, deceptive, or harmful purpose, or to send prohibited content.
Message people who have not opted in, or continue messaging people who have opted out.
Infringe intellectual-property or privacy rights, or violate any applicable law or third-party policy, including Meta’s.
Probe, scan, or reverse engineer the platform, circumvent access controls, or interfere with its operation or security.
Resell or provide the service to third parties except as expressly permitted by your agreement with us.
Intellectual property
The platform, its software, and its design are owned by CodeStrux Tech and its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the platform during your subscription. You retain ownership of the content and data you submit; you grant us the rights needed to operate the service for you.
Third-party services
The platform depends on the WhatsApp Business Platform and other third-party services. Your use of those services is governed by their respective terms, and we are not responsible for their availability, changes, or actions. WhatsApp and Meta are trademarks of Meta Platforms, Inc.
Disclaimers
The platform is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that messages will always be delivered, since delivery depends on WhatsApp/Meta and on recipients’ settings.
Limitation of liability
To the maximum extent permitted by law, CodeStrux Tech will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from your use of the platform. Our total liability for any claim relating to the service is limited to the amounts you paid for the service in the twelve months before the claim.
Indemnification
You agree to indemnify and hold CodeStrux Tech harmless from claims, losses, and expenses arising out of your use of the platform in breach of these Terms or of the WhatsApp/Meta policies, including claims by your customers or by regulators relating to your messaging or consent practices.
Suspension and termination
We may suspend or terminate access if you breach these Terms, if required to comply with the WhatsApp/Meta policies or the law, or to protect the platform’s security and integrity. You may stop using the platform at any time. On termination, the provisions that by their nature should survive will survive.
Changes to these Terms
We may update these Terms to reflect changes to the service or the law. We will revise the effective date above and, where changes are material, take reasonable steps to notify you. Continued use after an update means you accept the revised Terms.
Governing law
These Terms are governed by the laws of the Republic of Costa Rica, without regard to conflict-of-laws rules. The courts located in Costa Rica will have jurisdiction over disputes, unless mandatory law provides otherwise.
